What is a Shelf Company?

A company that has fulfilled all requirements for legal registration, and may be bought by anyone to bypass the lengthy registration or incorporation process. A shelf company is not active or trading, although it’s official registration and all other fees etc. are fully paid up. It has a company registration number, directors, shareholders, and authorised share capital.

St. Vincent and the Grenadines is an OECD white listed country. The laws that govern company incorporation, including shelf companies, are based on the English Common Law system.  

Why use Shelf Companies?

Common reasons for buying a shelf company include:

  • To save the time involved in setting up a new corporation. Buying such a company is generally faster than registering and incorporating an entirely new company.
  • To show corporate longevity, in order to attract consumers or investors.
  • To gain access to corporate credit, which may otherwise be unavailable.
  • To gain the opportunity to bid on contracts. (Some jurisdictions require that a company be in business for a certain length of time to have this ability.)

The shelf company’s new business activities will be established according to the needs of the new company owner and should comply with our Anti-Money Laundering and Anti-Terrorist Financing policies.

Features of our Shelf Companies:

  • The existing company name is guaranteed as available; but can be changed if preferred.
  • They are up to five years old; older companies can be arranged by special request. Just ask for our inventory, choose from the list, purchase the company, and start your business operations.
  • Both IBCs and LLCs are available: other structure types by application.
  • All statutory and government fees are paid and up to date; the company is in good legal standing and has a good track record with the company registry.
  • The ability to change shareholders and/or directors, and provide corporate nominees.
  • Authorized share capital and issued shares can be changed.
